1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the Anchored Logic website at anchoredlogic.com ("Site") and any consulting services provided by Anchored Logic ("we," "our," or "us"), operated by Emily Baack, Ontario, Canada.
By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or retain our services.
2. Services
Anchored Logic provides AI strategy consulting, operations advisory, workflow automation, and related professional services ("Services"). Specific deliverables, timelines, fees, and scope are defined in individual engagement agreements or statements of work entered into separately from these Terms.
We reserve the right to decline any engagement at our discretion and to modify or discontinue services with reasonable notice.
3. Use of the Website
You agree to use the Site only for lawful purposes. You may not:
- Reproduce, copy, or distribute any content from the Site without written permission
- Attempt to gain unauthorized access to any part of the Site or related systems
- Use the Site to transmit unsolicited communications or malicious code
- Misrepresent your identity or affiliation in any communications through the Site
We reserve the right to restrict access to the Site for any user who violates these Terms.
4. Intellectual Property
All content on the Site — including text, design, graphics, code, and brand elements — is the property of Anchored Logic or used under license. You may not use, reproduce, or redistribute any Site content without our prior written consent.
For consulting engagements, intellectual property terms (including ownership of deliverables) are governed by the applicable engagement agreement. In the absence of a written agreement to the contrary, deliverables created specifically for a client are considered work product transferred to the client upon payment in full. Background IP, frameworks, methodologies, and general know-how developed by Anchored Logic remain our property.
5. Confidentiality
Information shared during consultations and engagements is treated as confidential. We do not share client business information with third parties except as required to deliver services or as required by law. Specific confidentiality obligations may be set out in a separate agreement.
By submitting information through our intake form or via email, you consent to us using that information to respond to your inquiry and assess a potential engagement.
6. Payment
Fees for consulting services are set out in individual engagement agreements. Payment terms, accepted methods, and late payment consequences are governed by those agreements. Unless otherwise agreed in writing:
- Invoices are due within 14 days of the invoice date
- Deposits may be required before work commences
- All fees are in Canadian dollars unless otherwise stated
7. Disclaimer of Warranties
The Site and its content are provided "as is" without warranty of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
Consulting services are provided based on our professional judgment and the information available at the time. We do not guarantee specific business outcomes, revenue results, or performance improvements. AI implementations and operational recommendations carry inherent uncertainty, and results will vary based on factors outside our control.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Anchored Logic and Emily Baack will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or our services, including but not limited to lost profits, lost data, or business interruption.
Our total liability for any claim arising from a consulting engagement will not exceed the fees paid by you for the specific services giving rise to the claim in the three months preceding the event.
9. Third-Party Links and Tools
The Site may contain links to third-party websites or tools (including Calendly for scheduling and Tally for forms). We are not responsible for the content, privacy practices, or terms of third-party services. Links do not constitute endorsement.
10. Privacy
Your use of the Site and our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).
11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
12. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page will reflect the most recent revision. Continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms.
